Website terms and conditions

1. GENERAL PROVISIONS

1.1 This document sets out the conditions for accessing and using the Brothers Concept Corporation website, which presents the Company, its services, projects and professional experience. The website is referred to as the “Website” and a person accessing it as the “User”.

1.2 Please read these conditions before using the Website. Use must comply with the rules presented here and applicable law. If you disagree with these rules, please stop using the Website. Merely accessing it does not constitute consent to marketing or a waiver of statutory rights.

1.3 These conditions apply during use of the Website, according to the version available when it is accessed. They do not replace or amend a services agreement concluded separately with the Company.

1.4 This document describes the Website's purpose, rules on access to information, available materials, the rights and obligations of the User and Company, and the limits on using published information.

1.5 The Company may update the Website's design and content and these conditions. Changes are published on the Website and apply from the date indicated in the updated version, without retroactively affecting acquired rights or obligations under separate contracts. Please consult this page periodically.

2. WHO WE ARE

2.1 The Website is operated by BROTHERS CONCEPT CORPORATION S.R.L., a Romanian legal entity, with its registered office at București, sectorul 3, strada Victor Brauner nr. 40N, camera 1, bl. 8, etaj 11, ap. 143, Romania, registered with the Trade Register under number J2024001346039, with tax identification number 50265055 and VAT identification number RO50265055, referred to as “Brothers Concept Corporation” or the “Company”.

2.2 For communications about the Website, the services presented or these conditions, contact office@brothersconceptcorporation.com.

3. COPYRIGHT AND INTELLECTUAL PROPERTY

3.1 Text, photographs, images, graphics, logos, software, scripts and other materials on the Website may be protected by copyright or other intellectual property rights. Rights belong to the Company or the respective rights holders, as applicable. This document does not state that all materials are exclusively owned by the Company.

3.2 Unless authorised by law or an applicable permission, materials may not be reproduced, modified, sold, commercially distributed or incorporated into other publications, works or websites without the rights holder's prior written permission. Accessing the Website does not transfer rights to its content or structure.

3.3 Materials for which the Website expressly provides a download option may be viewed and downloaded for information and assessment of potential cooperation, within the permission displayed for that material. Copyright, attribution and other rights notices must be retained. This does not authorise republication, resale or use in promoting another entity. Where no download function or permission exists, this provision does not create one.

3.4 Unauthorised use may give rise to liability under applicable law. Establishing infringement, cessation of use and any damages are subject to applicable rules; accessing the Website alone does not automatically create a duty to pay damages. Intellectual property concerns may be reported to office@brothersconceptcorporation.com, identifying the material and right claimed.

3.5 If you become aware of possible infringement, unauthorised commercial use of materials or misuse of the Website, please notify us using the contact address. We will assess the report against the available information and documents.

4. WEBSITE CONTENT

4.1 Brothers Concept Corporation presents energy engineering and consultancy services, including design, grid connection and feasibility studies, solar PV, battery energy storage systems (BESS), grid connection and due diligence, as well as financial consultancy, European funding, project management and support for management and financial processes. Descriptions are available under “Services”. The specific scope, responsibilities and deliverables of each engagement are agreed separately.

4.2 The Website is for information and presentation and is not an online shop. It does not allow online purchase or payment for products or services. Published descriptions do not, by themselves, constitute a binding offer, guarantee of results or services agreement. Fees, deadlines and other commercial terms are agreed individually in writing.

4.3 The Website does not currently offer newsletter subscriptions or a news section with the subscription features described on other platforms. Company presentations, projects and other information can be viewed in the available sections. Any downloadable materials are subject to Article 3.3.

4.4 The services, projects and experience sections describe the Company's activities and the team's contribution. For further information, Users may contact office@brothersconceptcorporation.com or use the available options under “Contact”. If online submission is unavailable, entering information or saving a copy on a device does not send the enquiry to the Company. The form does not support file or technical documentation uploads. Confidential documents must be transmitted through a separately agreed appropriate channel. Personal data processing is described in the Privacy Policy.

4.5 The Website currently has no “Careers” section, recruitment form or CV upload function. Accordingly, no recruitment process is conducted through the Website. Applications received through other channels are assessed separately with appropriate personal data information.

4.6 The Company aims to publish accurate, current information and remedy reported discrepancies. Information is general and does not replace technical, financial or contractual assessment of a specific project. Project capacities, stages and contributions must be interpreted according to each project's description. Founders' previous professional experience is distinct from the Company's contractual portfolio. Displaying an illustrative image does not establish that the Company delivered the installation depicted.

4.7 The Company may change, correct and improve the Website, including updating service and project information. Such changes do not automatically amend obligations under separate contracts.

5. LINKS TO EXTERNAL PLATFORMS

5.1 The Website may link to third-party services or websites, including the Company and founders' LinkedIn profiles or official information pages. Following these links takes you outside the Website. Third parties set their own terms and privacy policies, which you should consult. The Company does not control these services' content or operation and does not guarantee availability. This does not exclude Company liability where provided by law.

5.2 A link from a third-party website to the Website does not, by itself, establish partnership, affiliation, authorisation or endorsement by the Company.

6. LIMITS OF LIABILITY

6.1 The Website provides general information about the Company and its activities. Published information is not guaranteed to be sufficient for a particular investment or individual technical or financial decision. Such assessment requires project-specific information and, where relevant, a separately agreed engagement.

6.2 Drafting, display or updating errors may occur. The Company will assess reported discrepancies and make necessary corrections. A Website error does not, by itself, amend an individual offer or signed contract.

6.3 To the extent permitted by law, the Company is not liable for consequences of using general information as a substitute for project-specific assessment where it has assumed no such obligation. Liability for contracted services is governed by the relevant contract and applicable law.

6.4 Users must use the Website lawfully and respect Company and third-party rights. Unlawful use causing damage may give rise to liability under applicable law. This document does not require waiver of the right to contact authorities or courts and does not exempt the Company from liability that cannot lawfully be excluded.

6.5 The Website does not intermediate transactions between Users and third-party suppliers. External products, services and platforms are governed by their applicable relationships and conditions. A link does not constitute a general Company guarantee of the third party's activities.

6.6 Maintenance, technical faults, internet connectivity or security incidents may affect availability. Such an event does not automatically remove Company liability. Any limitation applies only as permitted by law and does not exclude liability for intentional misconduct, gross negligence or other circumstances where exclusion or limitation is prohibited. Mandatory rights relating to data protection, consumers and access to justice remain unaffected.

7. ADVERTISING AND COMMERCIAL COMMUNICATIONS

7.1 The Website presents Company services and activities. It currently displays no third-party advertising banners and offers no newsletter subscription. Accessing the Website, accepting conditions or reading the Privacy Policy does not constitute agreement to receive commercial communications. Any marketing communication must meet applicable legal requirements, with the relevant information and recipient choices. Responding to an enquiry does not automatically subscribe its sender to marketing.

8. CHANGES

8.1 The Company may amend these conditions to reflect changes to the Website, activities or legal requirements. The updated version is published here with its update date and applies according to Article 1.5.

8.2 Website content or technical features may be adapted, and some functions may be temporarily unavailable during maintenance or updating. The Company seeks to limit interruptions. These changes do not affect separately assumed obligations or limit rights protected by law.

9. CONFIDENTIALITY AND SECURITY

9.1 Information sent to the Company is handled according to its nature, the communication's purpose, legal obligations and any contractual confidentiality obligations. Access is intended for persons who need the information to handle the enquiry. Sending a message does not automatically create a separate confidentiality agreement or make all information protected under such an agreement.

9.2 The Privacy Policy describes personal data categories, purposes, recipients, retention and your rights. The Cookie Policy explains cookies and browser storage.

9.3 The Website is accessed through the internet, a network not entirely under the Company's control. The Company seeks to protect information and availability through technical and organisational measures appropriate to the risks. An absolute absence of interruptions or incidents is not guaranteed. This does not remove statutory security or data protection obligations.

9.4 Please use an updated browser and operating system, protect your device and avoid sending passwords, identity-document copies or sensitive information unnecessary for your enquiry. Contact us before sending confidential documentation to agree on an appropriate channel. The “Accessibility” panel describes accessibility features and read aloud.

9.5 Attempts at unauthorised access, compromising systems or networks, transmitting malicious code, disrupting operation or misusing forms are prohibited. Such acts may give rise to civil, administrative or criminal liability, as applicable under the law.

10. FORCE MAJEURE

10.1 Force majeure has the effects provided by applicable law only when its legal requirements are met. It involves an external, unforeseeable, absolutely insurmountable and unavoidable event. Its existence, relationship to the affected obligation and effects are assessed according to the specific circumstances.

10.2 A technical fault, internet outage, computer virus, unauthorised access or operating error does not automatically constitute force majeure. These conditions do not invoke a general exemption for every technical incident. For contracted services, the relevant contractual provisions also apply within legal limits.

11. APPLICABLE LAW AND DISPUTES

11.1 These conditions are governed by Romanian law, subject to applicable mandatory rules, including those protecting the User where provided by law.

11.2 The Website may be accessed from Romania or other countries where technically possible. Users must comply with rules applicable to their use. Access from another country does not waive mandatory legal protection and does not, by itself, create a binding services offer for every jurisdiction.

11.3 Any disagreements concerning use of the Website will be addressed primarily through amicable resolution. If amicable resolution is not possible, disputes will be resolved by the courts having jurisdiction under applicable law. This provision does not limit the right to approach competent authorities or courts directly.

11.4 If a provision is held invalid or unenforceable, the remaining provisions continue to apply insofar as they can operate independently under the law. The affected provision is not automatically replaced by a term selected unilaterally by the Company; the relevant legal rules apply.

12. SUPPORT

12.1 For questions, reports, information corrections or requests about using the Website, email office@brothersconceptcorporation.com. The Website currently provides neither a support telephone number nor a separate technical support email address. Communications are handled through the office address above.
